| Rubsun
Ho co-founded Cognition LLP when his parents kept asking
him why he wasn't a partner in a law firm after all these years and
the thousands they spent on his education. Prior to co-founding Cognition,
Rubsun acted in various capacities with Wysdom Inc., a wireless Internet
startup based in Toronto, Ontario, where Rubsun joined on as employee
number ten. While at Wysdom, Rubsun acted as VP Business Development
and as General Counsel, helping the company raise over US$60 million
in financing and procuring and finalizing partnership agreements with
parties such as Ericsson and Sun Microsystems. Prior to Wysdom, Rubsun
was a corporate and securities associate in the Toronto and New York
offices of Stikeman Elliott, where he worked on a number of public
and private financings and M&A transactions. Rubsun holds a Bachelor
of Laws from the University of Toronto and a Bachelor of Commerce
(Finance) from McGill University.
Joe
Milstone
is co-founder of Cognition LLP with Rubsun. Prior to Cognition, Joe
served in the capacity of Vice-President, Legal and Business Services
at both Magna Entertainment Inc., North America's leading horse
racing entertainment provider, and Call-Net Enterprises Inc.(Sprint
Canada Inc.), Canada's leading alternative telecommunications provider.
Joe also worked for a number of years in the financial services
industry in the legal, policy and lobbying areas on behalf of the
Canadian banking and trust industries. Joe began his working career
at the law firm of Osler Hoskin & Harcourt and has also ran
his own tour company business in Ontario. Joe holds a joint LL.B/M.B.A.
degree from Osgoode Hall/Schulich School of Business. Joe is a fervent
football fan, father, volunteer and supporter of cultural adaptation
for immigrants to Canada.
Nina
Moritsugu joined Cognition LLP in 2005. Prior to joining
Cognition, Nina was Associate General Counsel at Soma Networks,
a broadband fixed wireless startup where Nina assisted in all aspects
of the business, including negotiation of outsourcing contracts
and technology licensing agreements. Before Soma, Nina was a litigation
associate at Gowlings where her practice focused on commercial law,
intellectual property, labour and employment, and administrative
law. Nina received her Bachelor of Laws from the University of Toronto
and her Bachelor of Arts (Honours) from McGill University. Nina
keeps busy running after her active boys, reading, traveling, and
acting as a board member for Volcano, an independent theatre company.
Anji
Banka joined Cognition LLP in 2006 after one of her friends
suggested that she was too mainstream and utterly predictable to
do anything so wild and crazy. Prior to Cognition, Anji was a corporate
associate at Stikeman Elliott where her practice focused on secured
lending transactions. Anji also holds a real estate broker's license.
Anji received her Bachelor of Laws from Osgoode Hall Law School
where she graduated in the top 2% of her class (what a star!) and
completed two years of her Bachelor of Arts (Psychology) at York
University.
Katherine
Curry joined Cognition LLP in 2005. Prior to Cognition,
she was legal counsel at Bulk Barn Foods (where she enjoyed the
free macaroons they kept in the office) and at Purolator Courier.
Previous to her in-house experience, Katherine was a litigation
associate at McLean & Kerr and also worked at Osler, Hoskin &
Harcourt. While at Osler, Katherine also spent six months on secondment
with the in-house legal department at Imperial Oil. Katherine has
a Bachelor of Laws from Queen's University and a Bachelor of Arts
(Geography) from Queen's University.
Nadine
Powell joined Cognition in 2006 as Director of Client
Services and is enjoying being back in the land of the living after
a few years at home looking after her daughter and twin boys. Prior
to joining Cognition, Nadine was employed by Wysdom Inc., a wireless
Internet startup based in Toronto, Ontario. Nadine joined Wysdom
in 1999 as their Director of Sales and eventually moved into Business
Development, structuring strategic alliances with Wysdom's technology
partners. Before joining Wysdom, Nadine was an Account Manager with
Carswell, a division of Thomson Professional Publishing and serviced
law firms throughout Toronto and the GTA. Nadine received her Bachelor
of Laws at the University of Toronto and her Bachelor of Arts (History)
from the University of Manitoba. Nadine maintains her sanity by
playing soccer, hockey and golf.
Frank Giblon joined Cognition in 2006. Prior to joining Cognition, Frank worked as a legal consultant for various clients including Sun Microsystems, The Hartford Insurance Company and Alias Systems. From 1999 - 2003, Frank was General Counsel and Secretary at Sun Microsystems of Canada Inc. When not chasing a small white ball or a black rubber disk, Frank has coached his son's and daughter's baseball, hockey and soccer teams. Frank enjoys working and speaking on leading edge IT developments including privacy, data security, and open source software. He is a Director of the Canadian Corporate Counsel Association and Dialysis Solutions, Inc.
Karen Lee joined Cognition LLP in 2006. Prior to Cognition, she was commercial counsel at Research In Motion Limited, the creator of BlackBerry devices and services. Previous to her in-house experience, Karen was an associate in the Business Department of Osler, Hoskin & Harcourt LLP where her practice centered on securities and private equity financing with a focus on information technology companies. Karen has a Bachelor of Laws from The University of Western Ontario, a Master of Business Administration from Saint Mary’s University, and a Bachelor of Commerce from Dalhousie University.
Fred Webber joined Cognition in 2006. Prior to Cognition, he provided in-house legal services to various companies on a contract or project basis. From 1985 to 2001, he was Senior Counsel at Nortel Networks where he drafted and negotiated IT contracts and provided distribution, marketing and competition law advice. From 1975 to 1985, Fred was Senior Counsel at General Electric Canada where he provided commercial contracting and legal advice to their industrial, consumer and defense businesses. Fred has B. Comm. and J.D. degrees from the University of Toronto. Outside of work, Fred enjoys regular physical fitness and golf.
Susan Morais joined Cognition LLP in 2006 when she was satisfied that after more than a decade downtown wearing pant suits, it was time to try something new. Susan specializes in corporate and securities law with a particular emphasis on early stage organization, shareholder relationships, private equity, corporate finance, mergers and acquisitions, and investment funds. She is an energetic and pragmatic person who enjoys working on a team and using her extensive contract drafting and negotiations experience to achieve innovative yet simple solutions to complex problems. For several years, Susan was an instructor at the Law Society Bar Admissions Course. Susan stared her legal career at Meighen Demers, a boutique firm specializing in business law, which merged with Ogilvy Renault LLP in 2001. While at Ogilvy Renault, Susan spent 8 months on secondment with the CIBC in-house legal department where she cultivated an appreciation for the varied regulatory and practical issues that affect businesses on a regular basis. Susan is the Chair and President of JUMP Math, a Toronto based charity that is dedicated to revolutionizing the way math is taught with a view to honing problem solving skills required for both school and life. When at home, Susan enjoys cooking, painting and dancing around the house with her daughter.
Benjamin Rovet joined Cognition LLP in 2007. Prior to joining Cognition, Ben was the lead counsel for Yak Communications Inc., a $110M public (NASDAQ) telecommunications company. In his life prior to Yak, Ben held a variety of in-house legal and regulatory positions at communications companies, including Call-Net Enterprises, MaxLink Communications and Rogers Cable. Ben is Past-Chair of the Entertainment, Media and Communications section of the Ontario Bar Association and is a member of the executive of the Media and Communications section of the Canadian Bar Association. Ben holds a Bachelor of Arts (Hons.) from McGill University and a Bachelor of Laws from the University of Toronto, where he completed a Directed Research Program in Telecommunications Law. Ben’s interests include physical fitness, reading, dining out and activities with his two young children.
Stephanie Spruston brings a combination of private and public sector work experience to Cognition. At Brazeau Seller, a full-service business firm in Ottawa, her practice focused on commercial transactions. As in-house counsel for the Bank of Canada, Stephanie negotiated and developed intergovernmental and commercial services agreements for primarily operations and technology clients. While managing large scale procurement projects and coordinating national operations initiatives in the early years of the Canadian Air Transport Security Authority (CATSA), Stephanie gained valuable insight into life as a client, which she brought to her eventual role as CATSA’s legal counsel. Stephanie received her Bachelor of Laws and her Bachelor of Arts (Honours) from Queen’s University. Outside of work, Stephanie enjoys playing soccer and coaching her two busy kids.
Kim G. von Arx joined Cognition LLP in 2007. Prior to joining Cognition LLP, Kim was the General Counsel, Corporate Secretary, and Director of Policy Development at the Canadian Internet Registration Authority. Since 2006, Kim has been an elected executive director of CENTR, a European-based association and the largest domain name registry association in the world. Kim’s expertise is in domain names, IP, corporate governance, strategic business and operational planning, not-for-profit law, general corporate/commercial law, development of strategic alliances, and consensus building among different factions. Kim guest lectures occasionally, when time permits, at the University of Ottawa, Faculity of Law and the University of Calgary, Faculty of Law on the subject matter of trade-marks and domain names. Kim is called to the Bar of Ontario and Nova Scotia. Originally from South-Korea and a citizen of Switzerland and Canada, Kim completed his legal education at the University of Edinburgh (LLB), the University of New Brunswick (LLB), and the University of Ottawa (LLM). Finally, Kim enjoys classical singing, gymnastics, track and field, martial arts and is an avid reader of philosophy. Kim is also a certified volleyball referee and fire brigade troop commander, equipping him to put out more than just his clients legal fires!
Siok Goh-Manzur joined Cognition in 2007. Prior to joining Cognition, Siok practiced as a Solicitor in England. While working with law firms in London and Singapore, she worked on international joint ventures focusing on multinational corporate clients investing in China. Later, Siok was in-house counsel with Lloyd's of London in the UK, and then worked for Motorola (UK) as Senior IP Attorney for the EMEA region handling cutting-edge 3G mobile technology. She was in-house solicitor with the NCC Group PLC (UK) where she was responsible for restructuring its contract administration team and for revamping NCC's range of standard form escrow agreements and consultancy contracts used for its clients worldwide. Siok was also called to the English Bar (Lincoln's Inn) and admitted as an Advocate and Solicitor of the Singapore Bar. She was admitted to the Ontario Bar in January 2007. An Upper Second Class LLP Honours degree graduate of the University of London, she was awarded the University of London Convocation Trust Bookprize for achieving first place in her 2nd year law exams and was also awarded a Company Law Bookprize. Siok enjoys photography, playing badminton and outdoor activities with her two young children. She is especially enjoying learning to skate so that she can take full advantage of Canadian winters!
